# Terms & Conditions

Welcome to Knock on Wood Marketing! These Terms & Conditions ("Terms") govern your access to and use of our website, services, and any related products or offerings.
By accessing our website, requesting a quote, purchasing services, or otherwise engaging with Knock on Wood Marketing, you agree to these Terms. If you do not agree, please do not use our website or services.
## 1. About Knock on Wood Marketing
Knock on Wood Marketing ("we," "us," or "our") provides website design, website hosting, search engine optimization (SEO), digital advertising, social media marketing, reputation management, AI optimization (GEO), content creation, and other digital marketing services.
Our goal is to provide professional, affordable marketing solutions that help businesses improve their online presence and grow.
## 2. Use of Our Website
You agree to use our website for lawful purposes only. You may not:
- Use our website in violation of any applicable law or regulation.
- Attempt to gain unauthorized access to our website, systems, or accounts.
- Disrupt or interfere with the operation or security of our website.
- Submit false, misleading, or fraudulent information.
- Use our website to distribute malicious software, spam, or harmful content.
- Copy, reproduce, or distribute website content without our written permission, except as permitted by law.
We reserve the right to restrict or terminate access to our website if we believe someone is violating these Terms or misusing our website.
## 3. Services Provided
Knock on Wood Marketing offers a variety of website and digital marketing services, which may include:

- Website hosting and maintenance.

- Landing page creation and lead generation.
- Marketing analytics and reporting.
Services, features, availability, and pricing may change over time. The specific services included in a customer's purchase will be outlined in the applicable proposal, service agreement, invoice, or other written agreement.
## 4. Pricing, Payments & Billing
All service prices will be communicated to the customer before the purchase or commencement of services.
Depending on the selected service or package, payment arrangements may include:
- One-time setup or project fees.
- Recurring monthly service fees.
- Fixed-term or annual service agreements.
- Additional charges for extra website pages, features, or services.
- Advertising budgets and third-party platform expenses.
### Recurring Payments
Customers who purchase recurring services authorize Knock on Wood Marketing to charge the agreed-upon payment method according to the selected billing schedule.
The billing schedule, length of the service commitment, and payment obligations will be established in the applicable service agreement.
### Late or Failed Payments
Customers are responsible for making all payments by the agreed-upon due dates.
If a payment is unsuccessful, overdue, or otherwise remains unpaid, we may contact the customer to resolve the outstanding balance.
If payment remains outstanding, Knock on Wood Marketing reserves the right to suspend or terminate the customer's services, including website hosting, website access, maintenance, or other ongoing services, as permitted by the applicable service agreement and law.
Suspending or terminating services does not automatically eliminate the customer's obligation to pay amounts already owed under the applicable agreement.
### Additional Services
Requests outside the original scope of work may require additional charges. We will communicate applicable pricing and obtain customer approval before beginning additional paid work.
## 5. Service Agreements, Cancellations & Refunds
Certain services offered by Knock on Wood Marketing require a written service agreement for a specified period of time. These may include annual agreements, fixed-term marketing services, website packages, or other arrangements with a defined service commitment.
The applicable service agreement will establish the customer's commitment period and may outline:
- Initial setup fees.
- Monthly service fees.
- Annual or fixed-term commitments.
- Included services and deliverables.
- Additional page or feature charges.
- Cancellation and termination requirements.
- Refund eligibility, if applicable.
- Website ownership and access arrangements.
### Cancellations
Customers are responsible for fulfilling the payment and service obligations established in their signed service agreement.
A customer may not assume that services can be canceled at any time simply because payments are made monthly. Monthly billing does not necessarily mean a month-to-month service commitment.
Any cancellation rights, early termination options, required notice, or remaining payment obligations will be governed by the applicable written agreement.
### Refunds
Refund eligibility will be determined by the applicable service agreement and the nature of the services purchased.
Unless expressly stated otherwise in a written agreement or required by applicable law, payments for completed work, setup fees, services already provided, and other nonrefundable charges will not be refunded.
### Termination for Nonpayment
If a customer fails to make required payments, Knock on Wood Marketing may suspend or terminate services in accordance with the applicable agreement and law.
The customer remains responsible for outstanding balances and any other amounts legally owed under the agreement.
### Collection of Unpaid Balances
If an outstanding balance remains unpaid, Knock on Wood Marketing may refer the account to a third-party collection agency or an attorney for collection.
Customers may be responsible for applicable collection fees, attorney fees, or collection costs only when permitted by applicable law and properly provided for in the written agreement.
Termination or suspension of services does not waive our right to pursue collection of unpaid amounts.
## 6. Website Design, Domain Ownership & Website Control
Knock on Wood Marketing creates, manages, and hosts websites for customers based on the selected service package and applicable written agreement.
### Domain Ownership
Customers retain ownership of their domain names. The customer is responsible for maintaining their domain registration, renewals, and any associated registration fees unless otherwise agreed in writing.
Domain ownership is separate from website ownership and hosting.
### Website Ownership & Platform Restrictions
For websites provided through our standard monthly website services, Knock on Wood Marketing retains control and management of the website through the website platform and hosting system used to provide the service.
Because these websites operate through a third-party platform and our service arrangement, the complete website, including its design, platform configuration, underlying structure, and associated systems, cannot be transferred to another hosting provider or account as part of the standard monthly service.
Customers do not automatically receive ownership or transfer rights to the complete website simply by paying monthly service fees.
Customers retain ownership of their original business content, photographs, logos, and other materials they provide, subject to any applicable third-party rights and licensing restrictions.
### Separate Website Ownership Agreements
Customers who wish to obtain ownership or transfer rights to a website may be able to do so through a separate written agreement with Knock on Wood Marketing.
Any such arrangement must be agreed upon in writing and may involve additional fees, conditions, or technical limitations.
The specific ownership rights, deliverables, transfer arrangements, and associated costs will be outlined in that separate agreement.
### Customer-Provided Materials
Customers are responsible for providing accurate business information, images, logos, text, credentials, and other materials necessary to complete their website or marketing services.
Customers represent that they own or have permission to use any materials they provide to us.
### Pre-Existing Materials
Knock on Wood Marketing retains ownership of its pre-existing tools, templates, proprietary systems, software, processes, and other materials used to provide services, unless otherwise agreed in writing.
## 7. Customer Responsibilities
Customers agree to:
- Provide accurate and complete business information.
- Supply necessary content, images, and materials in a timely manner.
- Review and approve website designs, content, and marketing materials.
- Maintain access to any accounts they are responsible for.
- Ensure that provided materials comply with applicable laws and third-party rights.
- Pay all agreed-upon fees on time.
- Communicate requested changes or concerns in a reasonable timeframe.
Delays in receiving customer information, materials, approvals, or payments may affect project timelines and service delivery.
Customers remain responsible for the accuracy and legality of their business information, products, services, and claims.
## 8. SEO, Advertising & Marketing Results
Knock on Wood Marketing works to improve customers' online visibility, website performance, advertising effectiveness, and overall marketing efforts.
However, we cannot guarantee specific results, including:
- First-page or top search engine rankings.
- A particular number of website visitors.
- A specific number of leads, calls, or sales.
- Advertising conversions or return on investment.
- Specific Google Business Profile rankings.
- Recommendations or placement in AI-powered search tools such as ChatGPT or Google AI.
- A particular level of business growth or revenue.
Search engines, advertising platforms, social media networks, and AI platforms use their own algorithms, policies, and systems. These may change without notice and are outside our control.
Marketing results depend on many factors, including competition, budget, industry, customer demand, website quality, and platform changes.
We will make reasonable efforts to provide the services agreed upon, but results cannot be guaranteed.
## 9. Advertising Budgets & Third-Party Expenses
Advertising services may involve costs charged directly by third-party platforms, including Google, Facebook, Instagram, LinkedIn, TikTok, and other advertising providers.
Unless specifically included in a written agreement, advertising budgets, platform fees, subscription fees, and other third-party expenses are separate from Knock on Wood Marketing's service fees.
Customers are responsible for approved advertising budgets and third-party charges associated with their campaigns.
We are not responsible for advertising account suspensions, platform policy changes, rejected advertisements, service interruptions, or other decisions made by third-party providers.
## 10. Third-Party Platforms & Services
Our services may rely on third-party platforms, software, applications, hosting providers, analytics tools, payment processors, and advertising networks.
These services may include Google, Meta, HubSpot, website hosting platforms, and other providers.
We do not own or control these third-party services and cannot guarantee their continued availability, performance, pricing, or functionality.
Customers may be subject to the terms, conditions, and privacy policies of those third-party providers.
We are not responsible for interruptions, data loss, security incidents, or changes caused by third-party services, except to the extent responsibility cannot legally be excluded.
## 11. Website Maintenance & Support
Website maintenance, content updates, technical support, and other ongoing services will depend on the customer's selected package or service agreement.
Requests outside the included scope of work may require additional fees.
Although we make reasonable efforts to maintain website functionality and compatibility, we cannot guarantee uninterrupted website availability or compatibility with every browser, device, application, or future software update.
## 12. Reputation Management & Customer Reviews
Our reputation management services may include monitoring online reviews, tracking ratings, receiving review notifications, and assisting customers with managing their online reputation.
We do not control third-party review platforms or the reviews submitted by customers.
We cannot guarantee that reviews will be removed, changed, improved, or responded to in a particular way.
Customers are responsible for ensuring that any responses, review requests, and business communications comply with applicable laws and platform policies.
We do not create or encourage fake reviews, misleading testimonials, or deceptive customer feedback.
## 13. AI Optimization (GEO)
Our AI Optimization services are designed to improve how a business's website and online information may be understood and discovered by AI-powered search platforms.
These services may include improving website content, business information, structure, and online visibility.
AI platforms use independent systems and algorithms that we do not control. We cannot guarantee that a business will appear in AI-generated answers, recommendations, summaries, or search results.
## 14. Intellectual Property
All original content on the Knock on Wood Marketing website, including text, graphics, branding, logos, designs, and other materials, is owned by or licensed to Knock on Wood Marketing unless otherwise stated.
You may not reproduce, distribute, modify, or commercially use our website materials without prior written permission, except where permitted by law.
Customer materials remain subject to the ownership and usage rights described in the applicable service agreement.
## 15. Confidentiality & Customer Information
We respect the confidentiality of customer business information and will use reasonable measures to protect information shared with us in connection with our services.
We will not knowingly disclose confidential customer information except as necessary to provide agreed-upon services, comply with legal obligations, or as otherwise authorized.
Our collection and use of personal information are described in our Privacy Policy.
## 16. Limitation of Liability
To the maximum extent permitted by applicable law, Knock on Wood Marketing will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost business opportunities, or loss of data arising from the use of our website or services.
We are not responsible for losses caused by third-party platforms, search engine changes, advertising decisions, hosting interruptions, unauthorized access outside our reasonable control, or customer-provided materials.
To the maximum extent permitted by law, our total liability arising from a particular service will not exceed the amount paid to Knock on Wood Marketing for that specific service during the three months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits liability where such limitation is prohibited by applicable law.
## 17. Indemnification
To the extent permitted by law, customers agree to defend, indemnify, and hold harmless Knock on Wood Marketing from third-party claims, damages, liabilities, and reasonable expenses arising from:
- Materials or content supplied by the customer.
- The customer's products, services, or business operations.
- The customer's violation of applicable laws or third-party rights.
- The customer's misuse of our website or services.
- The customer's breach of these Terms or an applicable service agreement.
This provision does not apply to the extent a claim results from our own unlawful conduct or other circumstances for which indemnification cannot legally be required.
## 18. Suspension & Termination
We reserve the right to suspend or terminate access to our website or services if a customer violates these Terms, fails to make required payments, engages in unlawful activity, or otherwise creates a reasonable risk to our business, systems, or other customers.
Where appropriate, we will provide notice and an opportunity to resolve the issue.
Termination of a customer's paid services will be handled according to the applicable service agreement.
Any outstanding balances, payment obligations, and provisions that by their nature should survive termination will remain in effect.
## 19. Changes to These Terms
We may update or revise these Terms from time to time.
Any updates will be posted on this page with a revised effective date. Continued use of our website after updated Terms are posted constitutes acceptance of the revised Terms to the extent permitted by law.
Changes to existing customer service agreements will be handled according to those agreements and applicable law.
## 20. Governing Law
These Terms will be governed by the laws of the State of Utah, without regard to its conflict-of-law principles.
Any legal action arising from these Terms will be brought in a court of competent jurisdiction in Utah, unless applicable law requires otherwise.
## 21. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect to the extent permitted by law.
## 22. Entire Agreement
These Terms, together with any applicable written service agreements, proposals, and policies referenced herein, represent the understanding between you and Knock on Wood Marketing regarding the matters covered by these Terms.
Nothing in these Terms overrides a separate written agreement where that agreement expressly provides otherwise.
